# Terms of Service

1. Agreement to Terms

By accessing or using code-agents.ai (the "Platform"), operated by IKIGAI Ventures BV ("we", "us", "our"), a company registered in the Netherlands (KVK: 87875438, BTW: NL864433815B01), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Account Creation and Eligibility

• You must be at least 16 years old to create an account
• You may only create one account per person
• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account

3. Content Access and Licensing

All course content on the Platform is licensed, not sold. Upon purchasing a content tier or unlocking content through the referral program, you receive a personal, non-exclusive, non-transferable license to access and use the content for your own educational purposes.

• Content is for personal, non-commercial use only
• You may not redistribute, resell, or share access to paid content
• Content access is determined by your purchase tier or referral level
• Certain introductory content is freely available to all visitors without an account

4. Purchases and Payment

• Purchases on the Platform are one-time payments for lifetime access to specific content tiers
• All payments are processed by Polar.sh, which acts as our Merchant of Record and handles all applicable taxes, VAT, and GST
• Content tiers use escalating pricing with limited spots at each price point. Prices may increase as spots fill.
• All prices are displayed in USD
• All sales are final. We do not offer refunds.

5. Referral Program

Upon creating an account, you receive a unique referral code. The referral program works as follows:

• Share your referral link to invite others to the Platform
• Referral rewards are content access unlocks — no monetary compensation is provided
• A referral is "confirmed" only when the referred user both registers and completes at least one course step. Signup alone does not count.
• Content unlocks at milestone thresholds: 1, 3, 5, and 10 confirmed referrals
• The following are prohibited and will result in referral invalidation:
  • Self-referrals or referring your own alternate accounts
  • Creating fake accounts to generate referrals
  • Using automated tools or bots to generate signups
• We reserve the right to void referrals and revoke unlocked content if gaming or abuse is detected

6. Gift Passes

• Paid users receive gift pass credits with their purchase (2–3 per tier)
• Each gift pass grants the recipient permanent access to one specific chapter
• Gift passes expire 7 days after being sent if not claimed — unused credits are automatically returned to the sender
• Gift passes are single-use and non-transferable by the recipient

7. Founder Codes

Founder codes are one-time-use access codes issued at the sole discretion of IKIGAI Ventures BV to friends and VIPs. Founder codes grant full platform access and are non-transferable.

8. User Conduct

You agree not to:

• Circumvent content gating mechanisms or access content you have not unlocked
• Scrape, crawl, or systematically download content from the Platform
• Share your account credentials with others or allow others to access your account
• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Interfere with or disrupt the Platform's infrastructure or security measures

9. Intellectual Property

All content, design, branding, and course materials on the Platform are owned by IKIGAI Ventures BV and protected by applicable intellectual property laws.

• Code snippets provided in course materials may be used in your own projects
• Course material (text, structure, explanations) may not be reproduced, republished, or distributed

10. Disclaimer of Warranties

The Platform and all content are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted availability or that the Platform will be free of errors. Course content is educational in nature — no specific career outcomes, income levels, or results are guaranteed.

11. Limitation of Liability

To the maximum extent permitted by law, IKIGAI Ventures BV shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim arising from these Terms or your use of the Platform is limited to the amount you paid to us in the 12 months preceding the claim.

12. Termination

• You may delete your account at any time
• We may suspend or terminate your account if you violate these Terms, with or without notice
• Upon termination, your access to paid content will cease. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and General Provisions) will remain in effect.

13. General Provisions

• Governing law — these Terms are governed by the laws of the Netherlands
• Dispute resolution — disputes will be resolved through good-faith negotiation first, then through the courts of competent jurisdiction in the Netherlands
• Severability — if any provision is found unenforceable, the remaining provisions continue in full effect
• Entire agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and IKIGAI Ventures BV
• Changes — we may update these Terms from time to time. Material changes will be communicated via email to registered users. Continued use after changes constitutes acceptance.
